Terms of Service

1. Overview of Service

PingPro is a locally run desktop network monitoring application. All monitoring activity including ICMP monitoring, baseline captures, endpoint mapping, ARP and MAC imports, and performance measurements occurs entirely on your local device. PingPro does not transmit, process, or store monitored network data on its servers. An account login is required solely for authentication, subscription management, and license enforcement.

2. Accounts and Device Limits

To use PingPro, you must create an account. You agree to:

• Provide accurate account information
• Maintain the confidentiality of your login credentials
• Be responsible for all activity under your account

Each account is limited to activation on up to two devices. PingPro collects the number of devices associated with an account strictly for license enforcement purposes. PingPro does not collect or monitor the number of switches, endpoints, IP addresses, or network devices monitored within the application.

Accounts are non transferable. PingPro may suspend or terminate accounts that violate these Terms.

3. Subscription and Billing

Pricing

PingPro is offered at:

• $9.99 per month billed in advance
• First 500 qualifying users may receive free lifetime access as advertised

Billing

Payments are processed securely via Stripe. PingPro does not store full payment card details. By subscribing, you authorize PingPro to charge your payment method for recurring subscription fees until canceled.

Subscriptions automatically renew monthly unless canceled before the renewal date. If you do not cancel before renewal, your payment method will be charged for the next billing period. Charges may appear on your statement as PingPro.

If payment fails or is declined, access to the Service may be suspended until payment is successfully processed.

You may cancel at any time. Access will continue through the end of the current billing period. Refunds are not provided for partial billing periods unless required by law.

4. Lifetime Access for Early Users

If you qualify for free lifetime access:

• Lifetime refers to the operational lifetime of the PingPro product
• Access is tied to the original registered account email
• Lifetime access is non transferable and may not be resold

PingPro reserves the right to revoke lifetime access obtained through fraud, abuse, or violation of these Terms.

5. Data Handling

PingPro is designed as a local first application. PingPro does not collect, transmit, or store:

• Monitored IP addresses
• Network traffic data
• ARP tables or MAC tables
• Baseline captures
• Endpoint lists
• Performance measurements
• Monitoring telemetry

All monitoring and analysis remain on your local device. PingPro collects only:

• Account registration information
• Subscription status
• Device activation count for license enforcement

No monitored network data leaves your computer.

6. Acceptable Use

You agree not to:

• Use PingPro for unlawful or malicious activity
• Reverse engineer, decompile, or attempt to extract source code
• Circumvent subscription or device limits
• Redistribute, sublicense, or resell the software

PingPro is intended for legitimate network monitoring and diagnostic use. You are responsible for ensuring that your use of PingPro complies with your employer's policies, internal security requirements, and applicable laws.

7. Intellectual Property

All rights, title, and interest in PingPro including software, branding, and documentation remain the exclusive property of PingPro. You are granted a limited, non exclusive, non transferable license to use the software in accordance with these Terms.

8. Disclaimer of Warranties

PingPro is provided as is and as available. We do not guarantee:

• Continuous or uninterrupted operation
• That the software will be error free
• That monitoring results will be perfectly accurate

You assume full responsibility for how you use the Service.

9. Limitation of Liability

To the maximum extent permitted by law, PingPro shall not be liable for:

• Network outages
• Loss of data
• Business interruption
• Indirect, incidental, special, or consequential damages

Total liability shall not exceed the amount paid by you to PingPro in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless PingPro, its owners, employees, and affiliates from and against any claims, damages, liabilities, losses, and expenses including reasonable legal fees arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or third party rights

This obligation survives termination of your account.

11. Export Compliance and Sanctions

You may not use PingPro in violation of applicable export control laws or sanctions regulations. By using the Service, you represent that you are not located in, under the control of, or a resident of any country subject to applicable trade sanctions, and that you are not listed on any government prohibited or restricted parties list.

12. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in New York.

You agree to resolve disputes individually and waive any right to participate in a class action or representative proceeding. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

13. Right to Modify or Discontinue

PingPro reserves the right to modify, suspend, or discontinue the Service at any time, with or without notice. Lifetime access refers to the operational lifetime of the product and does not guarantee indefinite availability. PingPro shall not be liable for any modification or discontinuation of the Service.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. Waiver

The failure of PingPro to enforce any right or provision of these Terms shall not be considered a waiver of those rights.

16. Force Majeure

PingPro shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, labor disputes, internet service interruptions, power outages, or other events beyond reasonable control.

17. Modifications to Terms

PingPro may update or modify these Terms at any time. Updated Terms will be posted on the website. Continued use of the Service after changes constitutes acceptance.

18. Termination

You may cancel your subscription at any time. PingPro may suspend or terminate access for violations of these Terms.

19. Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles.
